INTRODUCTION

These terms of use (“Terms”) governs the access and use of the Website / Mobile Application. By accessing or using the Website / Mobile Application, you agree to be bound by these Terms and the Policy.

DEFINITIONS

“Website” means https://www.nseindia.com/.

“Mobile Application” means the ‘NSE India’ mobile application. 

“User” means the individual accessing or using the Website / Mobile Application.

“Content” means all text, images, graphics, technical charts, links, material, videos, audios, and other information on the Website / Mobile Application.

“Personal Information” shall mean any data about an individual who is identifiable by or in relation to such data.

“Policy” means and include the “Terms of Use,” “Privacy Policy”, “Disclaimer” “Copyright Policy”, “Content Contribution, Moderation and Approval Policy”, “Content Review Policy”, “Content Archival Policy”, “Website Monitoring Policy”, “Website Security Policy”, Contingency Management Policy” and “Hyperlinking Policy provided on our Website / Mobile Application and as amended from time to time.

USE OF WEBSITE / MOBILE APPLICATION

1. User hereby declares that he/she is of 18 years of age or older and is visiting the Website / Mobile Application at their own risk and User alone shall be responsible and liable for their actions. User also represents and warrants that they will use the Website / Mobile Application in a manner consistent with any, and all applicable laws and regulations.
2. By accessing the Website / Mobile Application, User agrees to follow and be bound by all terms and conditions concerning its use of the Website / Mobile Application. Certain areas of the Website / Mobile Application may have different terms of use. If there is a conflict between the Terms of Use and terms of use for a specific area of the Website / Mobile Application, the latter shall have precedence with respect to its use of that area of the Website / Mobile Application.
3. The Website / Mobile Application may use cookies. By using the Website / Mobile Application and agreeing to these Terms, User consents to the use of cookies in accordance with the terms of the privacy policy.
4. The Website / Mobile Application may use third party plug-ins, which are duly licensed and are used in terms of applicable end-user license agreements. By using the Website / Mobile Application and agreeing to these terms of use, User consents to abiding by the relevant end user license agreements.

5. NSE strives to ensure that the Website is accessible to everyone including persons with disabilities and NSE continuously works to improve and maintain its accessibility and usability of the Content. To facilitate this, the Website incorporates the following features:

• Use of appropriate contrast and font sizes for readability
• Keyboard navigability for interactive elements
• Text alternatives for all non-text content, including images
• Accessible formats for downloadable documents along with file sizes mention at appropriate place (e.g., tagged PDFs)
• Compatibility with screen readers like Windows Narrator to enable Users with disability. Narrator is a built-in feature of Windows that allows Users to interact with their computer using text-to-speech.

6. NSE may terminate User's access to the Website / Mobile Application or any part thereof at any time and for any reason without any notice. The provisions regarding disclaimer of warranty, accuracy of information, software, database, other system or functionality of Website / Mobile Application shall survive such termination. NSE may, at its discretion, monitor User’s access to the Website / Mobile Application.
7. NSE reserves the right to change, modify, update the Terms of Use without any notice. Unless otherwise specified by NSE, all such changes shall be effective immediately upon being placed on the Website / Mobile Application. User’s continued use of the Website/ Mobile Application after any changes to these Terms constitutes its acceptance of the updated Terms. NSE may change, modify, update or discontinue any aspect of the Website / Mobile Application at any time, including, its content or features.
8. All information (including any real time information) or Content on the Website / Mobile Application is the exclusive property of NSE except the third-party content or information. The Content used on the Website / Mobile Application are owned by or belong to or are licensed to NSE or its subsidiaries and affiliates. The Website / Mobile Application and all its content are protected by copyright, trademark, and other Intellectual Property Rights laws. User agrees that any information or content or data on the Website / Mobile Application shall not be copied, modified, reverse engineer, reproduced, uploaded, transmitted, posted, stored (either in hardcopy or in an electronic retrieval system), adapted, altered, translated, disseminated, distributed, displayed, performed, broadcasted, published, hyperlinked, sold, marketed, licensed, rented, leased or distributed in any form, without prior written permission of NSE. Unless the information or Content is available for download, not to aggregate, copy or duplicate in any manner any of the content or information which is available on Website / Mobile Application. User acknowledges, agrees and undertakes that it shall not, in any form and manner, use or make the data or Content available on the Website / Mobile Application, for any gaming, virtual trading or simulation activities under any circumstances whatsoever. All rights not expressly granted herein are reserved. Unauthorised use of the data, Content or materials appearing on the Website / Mobile Application may violate copyright, trademark and other applicable laws, and could result in NSE taking strict actions against such User. User is granted a non-exclusive, non-transferable, limited right to access the Website / Mobile Application and avail the services provided by NSE through the Website / Mobile Application.
9. User is prohibited to conduct any systematic or automated data collection activities (including scraping, data mining, data extraction and data harvesting) on or in relation to our Website / Mobile Application.
10. NSE does not make any warranties, express or implied, with respect to any service, information, data, software, system, functionality, statements or products made available on the Website / Mobile Application. The data, Content contained on the Website / Mobile Application has been obtained from sources believed to be reliable. The Website / Mobile Application, and all content, materials, information, software and services provided on the Website / Mobile Application, are provided on an "as is" and "as available" basis. NSE is not liable for any damages, losses or expenses arising from User’s use of the Website / Mobile Application.
11. NSE does not warrant that the Website / Mobile Application will operate error-free or that the Website / Mobile Application and its servers are free of computer viruses or other harmful mechanisms. If User’s use of the Website / Mobile Application or Content therein results in the need for servicing or replacing equipment or data, NSE is not responsible for any such costs. NSE to the fullest extent permitted by law, disclaims all warranties, whether express or implied, including the fitness for particular purpose and non-infringement. NSE makes no warranties about the accuracy, reliability, completeness, or timeliness of the content, services, software, text, graphics, and links.
12. NSE does not warrant any liability for failure of the system or for any loss, damage, or other costs arising in any way out of: (i) telecom network or system failures including failure of ancillary or associated systems, or fluctuation of power, or other environmental conditions; (ii) accident, transportation, neglect, misuse, errors, frauds of the User or the agents or any third party; (iii) any fault in any attachments or associated equipment (either supplied by NSE or approved by NSE) which forms or does not form part of the trading workstation installation; and/or (iv) act of God, fire, flood, war, act of violence, or any other similar occurrence.
13. The Website / Mobile Application may be used only for lawful and permitted purposes by the Users. NSE specifically prohibits any other use of the Website / Mobile Application, and all Users agree not to do any of the following:

• Post or submit on the Website / Mobile Application any incomplete, false or inaccurate biographical information or information which is not their own.
• Send unsolicited mail or e-mail, making unsolicited phone calls or send unsolicited faxes regarding promotions and/or advertising of products or services to a User of the Website / Mobile Application.
• Use the Website / Mobile Application or any Content for any purpose that is unlawful / prohibited in any jurisdiction and/or not permitted under the applicable law.
• Take any action that imposes an unreasonable or disproportionately large load on the Website / Mobile Application's infrastructure.
• Attempt to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Website / Mobile Application.
• Send, submit, post, or otherwise transmit, material or messages that contain software virus, or any other files that are designed to interrupt, destroy, and negatively affect in any manner whatsoever, any electronic equipment in connection with the use of the Website / Mobile Application, or other user's ability to use the Website / Mobile Application.
• Offer any unsolicited or unauthorised advice, direct or indirect, to anyone by any means, or to otherwise spam, communicate with or market to anyone any technology, services or business associated with NSE.

NSE shall not be liable for any damage to User's computer system or loss of data that result from the download of any Content from the Website / Mobile Application or use of any software, systems, functionality, or other services on the website. Under no circumstances will NSE be liable in any way for any content posted or uploaded by the User, including, but not limited to, inaccurate, false, incomplete, threatening, defamatory, obscene, offensive, illegal, infringing of other’s rights including intellectual property rights, or any errors or omissions, or any loss or damage of any kind incurred by use of any such content.

14. In no event will NSE or its third party providers be liable for any damages, including without limitation direct or indirect, special, incidental, punitive, or consequential damages, losses or expenses (including, but not limited to, damages for lost profits, business interruption and loss of programs or information) arising out of or relating to User’s use of the Website / Mobile Application, any failure of performance, error, omission, interruption, defect, inaccuracies, delay in operation or transmission, computer virus, line or system failure, unauthorized interception of information, or other security threats relating to the Website / Mobile Application, even if NSE or their agents or advisors are advised of the possibility of such damages, losses or expenses and/ or for any unlawful act of the User or its affiliates, relatives, employees, agents including misuse of any data, unfair trade practices, fraud, cybersquatting, hacking and other cybercrimes.
15. User should not use the Website / Mobile Application to transmit or send unsolicited commercial communications.
16. NSE reserves the right to disclose any Personal Information about User and their use of the Website / Mobile Application including its contents, without User’s prior permission, if NSE has good faith, belief that such action is necessary to:

• conform to legal/regulatory requirements or comply with legal process;
• protect and defend the rights or property of NSE or its affiliated companies;
• enforce the Terms of Use; or
• protect the interest of its members or others.

17. If the Website / Mobile Application provides links to websites and access to content, products and services from third parties, including users, advertisers, affiliates and sponsors of the Website / Mobile Application , User acknowledges and agrees that the linked sites are not under the control of NSE and that NSE is not responsible for the availability of, and content provided on such third party websites including opinions, advice, statements and advertisements, any link contained in a linked site, changes or updates to such sites and User shall bear all risks associated with the use of such content. The User is requested to peruse the policies posted by such third-party websites regarding privacy and other topics before use. NSE is not responsible for any loss or damage of any sort which User may incur from dealing with any third party. NSE is not responsible for webcasting, or any other form of transmission received from any linked site. NSE is providing these links to User only for convenience, and the inclusion of any link shall not be construed to imply endorsement by NSE in any manner of the Website / Mobile Application.
18. For using any third-party content, User shall leave the Website / Mobile Application and be directed to an external website, or to a website maintained by an entity other than NSE. If User decides to visit any such site, User does so at their own risk and it is their responsibility to take all protective measures to guard against viruses or any other destructive elements. NSE makes no warranty or representation regarding, and does not endorse, any linked websites or the information appearing thereon or any of the products or services described thereon. Links do not imply that NSE or the website sponsors, endorses, is affiliated or associated with, or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in or accessible through the links, or that any linked site is authorized to use any trademark, trade name, logo or copyright symbol of NSE or any of its affiliates or subsidiaries.
19. For availing the services provided on the Website / Mobile Application, registration by the User is required. User must provide accurate and complete information when registering or logging in or using the Website / Mobile Application. User will receive a password and account designation upon completing the registration on the Website / Mobile Application. User is fully responsible for maintaining the confidentiality of the password and account and for all activities that occur under User’s password or account. By registering, User agrees to the following terms in addition to any other specific terms which shall be posted at an appropriate location on the Website / Mobile Application.
    1. Each registration is for a single individual user only. To access these services, User will be asked to enter their individual Username and Password.
    2. NSE does not permit any part of the Website / Mobile Application being cached in proxy servers and accessed by individuals who have not registered with Website / Mobile Application as Users.
    3. NSE does not permit access through a single Username and Password, by multiple Users on a network.
    4. If NSE reasonably believes that a Username and Password are being used / misused in any manner as clarified above, NSE reserves the right to cancel access rights immediately without notice, and block access to all Users from that IP address.
20. User specifically agrees that NSE shall not be responsible for unauthorized access to or alteration of their transmissions or data, any material or data sent or received or not sent or received through the Website / Mobile Application.
21. NSE reserves the right in its sole discretion to investigate and take legal action against anyone who engages in any illegal or prohibited conduct or otherwise violates these Terms of Use, including without limitation, removing the User content from the Website / Mobile Application and/or terminating the offending User's ability to access the Website / Mobile Application and/or use services therein. NSE may take any other action with respect to User content or User actions that it deems necessary or appropriate in its sole discretion if it believes it may create liability for NSE or may cause NSE to lose (in whole or in part) the services of its Internet Service Providers or other suppliers.
22. The User hereby specifically agrees to comply with the requirements of the Information Technology Act, 2000, Digital Personal Data Protection Act, 2023 along with applicable rules, regulations, guidelines, bye laws and notifications (if any) made thereunder and as amended from time to time and any other applicable laws, while on the Website / Mobile Application. The User also undertakes that the content provided by him/her is not defamatory, obscene, religious / separatist agenda, threatening, abusive or hateful, seditious, or disparaging material or such information / details which may or deemed to hurt / offend public sentiments and/or which may affect NSE’s reputation or market standing and credibility. The User shall alone be responsible for all their acts, deeds and things and that it alone shall be liable for civil and criminal liability thereunder or under any other law for the time being in force. NSE shall have the sole right to block / restrict User’s access to the said Website / Mobile Application, as it deems fit.
23. NSE may, if User so chooses, send direct mailers to User at the address given by them. User has the option to 'opt-out' of this direct mailer by way of links provided at the bottom of each mailer. NSE respects User’s privacy and in the event User chooses to not receive such mailers, NSE will take all steps to remove User from the list.
24. User agrees to indemnify and hold NSE, its subsidiaries, affiliates, officers and employees, harmless from any claim, demand or damage, including reasonable attorney’s fees, asserted by any third party due to or arising out of User’s use of or conduct on the Website / Mobile Application and/ or breach of the Terms.
25. No failure or delay by NSE in exercising any right, power or privilege under the Terms of Use will operate as a waiver of it, nor will any single or partial exercise of it preclude any further exercise or the exercise of any right, power or privilege under the Terms.
26. The Website / Mobile Application is controlled, operated and administered by NSE from its offices within India. NSE makes no representation that Content on this Website / Mobile Application are accurate, appropriate or available for use at any other location(s) outside India. Any access to this Website / Mobile Application from territories where their contents are illegal is prohibited. User may not use the Website / Mobile Application or export the Content in violation of any applicable export laws and regulations. If User accesses this Website / Mobile Application from a location outside India, User is responsible for compliance with all local laws. Access to the Website / Mobile Application may be restricted or terminated at any time if NSE determines that User is accessing Website / Mobile Application from outside India or from a jurisdiction that is subject to restrictions or sanctions or is suspicious in nature.
27. The Terms of Use shall be governed by the laws of India. The Courts in Mumbai shall have exclusive jurisdiction over any disputes arising under the Terms of Use.
28. By using our Website / Mobile Application, User acknowledges that they have read, understood and agree to be bound by these Terms.

‘MY PORTFOLIO’ FACILITY

1. Any User who is desirous of viewing or accessing their securities holdings for transactions undertaken on NSE platform through its broker, may register under the ‘My Portfolio’ facility. User can register for ‘My Portfolio’ facility by using their mobile number and PAN to be authenticated by way of an OTP (one time password). User is required to set an M-Pin for an easy login to ‘My Portfolio’ facility. User is responsible to maintain privacy and protection of their user id / password and M-Pin (login credentials) at all times. User may also access ‘My Portfolio’ facility by using their biometric details that is saved on User’s mobile phone / electronic devices. NSE does not use /access / store User’s biometrics details.
2. The User has two (2) options to avail ‘My Portfolio’ facility:

• User may opt to view / access their holdings for securities transacted on NSE’s platform by registering through their PAN and mobile number linked to PAN, duly authenticated by an OTP (one time password) as received on their linked mobile number. The User must select the brokers name through which securities were transacted at NSE platform to enable to view the specific securities holdings in the ‘My Portfolio’ facility. All display of holdings will be based on the previous day closing of the market / transaction done by the User through their broker.
• The User may also manually add their holdings/ investments not transacted through NSE’s platform (“Other Investment Data”). The Users are advised to ascertain accuracy of the Other Investment Data with the original source of the Other Investment Data where the transaction has taken place. NSE does not verify the details manually added by the Users pertaining to the Other Investment Data.

3. The access and use of ‘My Portfolio’ facility is voluntary and optional. NSE does not charge any fees for use of ‘My Portfolio’ facility.  The My Portfolio facility can be also withdrawn or suspended any time by NSE in its absolute discretion. Any information or data provided through My Portfolio facility should not be construed as an investment advisory or portfolio management services.

4. NSE reserves the right to discontinue or suspend, temporarily or permanently, User’s access to the ‘My Portfolio’ facility for any reason at any time without prior written notice. Further, NSE may suspend and block User access to the ‘My Portfolio’ facility including but not limited to the following circumstances:

• User has violated the terms of this Terms;
• NSE determines that User poses an unacceptable fraud risk NSE or its members;
• User provides or has provided false, incomplete, inaccurate, or misleading information or otherwise engage in fraudulent or illegal conduct;
• NSE has security concerns regarding User use of ‘My Portfolio’ facility;
• NSE suspects unauthorised or fraudulent use of ‘My Portfolio’ facility.
